When you need company registration

Your customers are elsewhere
Payments, stores and platforms ask where the company sits before what it sells. The answer decides which of them work with you.
An investor wants a familiar structure
A fund finances a form it has seen before. An unusual jurisdiction turns a term sheet into a legal opinion.
The bank refused the account
An account is opened for a company the bank can explain to its compliance team.
You are hiring across borders
Employment, payroll and visas hang off the country of registration. Hiring first and registering later means re-papering everyone already hired.
A licence is coming next
Some activities are licensed only where the company already exists.
What you get
- A country chosen with reasons
- A registered company and its number
- Constitutional documents in order
- A registered address and agent
- The pack a bank asks for
What is required to register a company

Registering a company is three decisions in order: the country, the form and who may sign. The filing is short; living with those decisions is not.
Where the country is the whole question, that is jurisdiction selection; where only the ownership rules are unclear, foreign ownership compliance.
What the registry needs
- Identity documents for every owner and director, and a name the registry will clear.
- A registered address and, where the law requires, an agent for official post.
- Constitutional documents: articles, first resolutions, share structure.
- The activity: it decides the licence, the tax treatment and, for some, the limits on foreign ownership.
LLC formation in the United States
A limited liability company belongs to a state, and the state sets the fee, the annual charge and the filing duties. None guarantees a processing time.
| State | Filing fee | Annual charge | What sets it apart |
|---|---|---|---|
| Delaware | $110 | $300 tax, no annual report | The register does not publish members |
| Wyoming | $100 | from $60 | Annual charge measured on assets in the state |
| Florida | $125 | $138.75 | A $400 penalty if the report is late |
| Texas | $300 | no charge to the registry | Information report goes to the tax office |
| California | $70 | $800 tax a year | $20 statement: first in 90 days, then biennial |
| Nevada | $75 | $150 list plus a $200 state licence | Two annual payments, $350 together — more than Delaware |
| New York | $200 | $9 every two years | Publication in two newspapers for six weeks, a $50 certificate, a 120-day deadline |
| New Jersey | $100 | $75 | Expedited filing from $25 |
Twenty countries in brief
Cyprus
Companies and intellectual property are kept by the same office.
United Arab Emirates
There is no minimum capital and no federal registry: the emirate registers you — through its economic department or its municipality.
Estonia
The capital requirement was dropped in 2023, and the company can be set up remotely.
Uzbekistan
A limited liability company follows the general procedure; we will confirm its capital rules.
United States
A company is registered by a state, and each sets its own fee and charges.
Serbia
The minimum capital is 100 dinars, unless a separate law sets a higher amount.
Hong Kong
The law sets no minimum paid-up capital, and shares have carried no par value since 2014.
Switzerland
A limited liability company needs CHF 20,000 paid in full, a stock corporation CHF 100,000.
United Kingdom
A private limited company stands on a public register naming its directors and people with significant control.
Germany
Capital is €25,000, half of that minimum paid before registration, and documents go through a notary.
Georgia
A limited liability company goes through the public registry; we will confirm the capital rules.
Poland
The minimum capital is 5,000 zloty, and a standard company has a simplified electronic route.
Lithuania
A private limited company sits on the central register; we will confirm the capital minimum in force.
Malta
A private limited company has a minimum authorised capital set by law, part paid at signing.
British Virgin Islands
A business company pays an annual fee that follows the shares it may issue.
Armenia
A limited liability company registers online if the founder holds an electronic signature.
Oman
A limited liability company enters the commercial registry; the law fixes no minimum.
Qatar
The ministry states plainly: no minimum and no maximum capital.
Bahrain
A company with limited liability sits under the commercial companies law; we will confirm the capital rules.
Saudi Arabia
A limited liability company states its capital and the split among partners.
Sources: filing fees come from the state registries — Delaware, Wyoming, Florida, New Jersey, Nevada, New York, Texas and California; the Delaware annual tax from the Division of Corporations, the Texas report from the Comptroller. Capital minimums by German, Swiss and Serbian law.
Stages of work
Choosing the country — 3–5 working days.
We will start from where your customers, your team and your money are, and shortlist what fits.
Choosing the form and the structure.
The form decides the capital, the reporting and who may own you, and we will say what each costs to keep alive.
Names, documents and the address.
We will clear the name, prepare the articles and first resolutions, and arrange the address and agent.
The filing itself.
We will lodge the documents with the registry and settle the state charges for you. The registration number and the incorporation certificate reach you on the day the registry issues them.
After registration: bank, tax and licences.
A registered company is not a working one yet. Tax registration, the beneficial ownership filing where it applies, and the bank account come next.
Keeping it alive — every year.
Annual charges, reports and renewals fall due on dates set by the registry. We will hand you the calendar and mark the dates carrying penalties.
Our other corporate work sits in Corporate & Structuring.

FAQ
Residency is not required everywhere. A registry asks for identity documents, a name it will accept, an address in the country and, in some places, a registered agent who receives official post. Residency matters later, for the bank account, for visas and for the tax position of the owners. It also matters where an activity carries foreign ownership limits, and that is checked before the filing.
It depends entirely on the country, and the spread is wide. Germany asks for €25,000 with half of it paid before registration; Poland asks for 5,000 zloty; Serbia asks for 100 dinars; Estonia dropped its requirement in 2023, and Hong Kong sets no minimum paid-up figure. A low minimum is not the same as a cheap company: annual charges, reporting and the registered address carry on after the capital is paid once.
In several of these countries, yes. Estonia allows the whole setup to be done without coming to the country, and Armenia registers a company online where an electronic signature is available. Others need a step in person or through a notary: in Germany the founding documents go through one. Where a visit is unavoidable, we will name the step that needs it before you book anything.
