When you need company registration in the UK

What is required to register a company in the UK

Registering a company here is among the cheapest things a founder will do all year. The duties that begin the day after the certificate are the expensive part, and they are the reason this page is arranged around the calendar.

Identity, before the filing goes in
Since 18 November 2025 identity verification is a legal requirement. When a new company is registered, the personal code of each director is part of the registration filing itself. A person with significant control gives their code when first entered on the register or within 14 days of being entered.
What starts the next day
The confirmation statement
Every company delivers one before the end of 14 days after each review period ends. It costs 50 pounds for the first statement in a 12-month payment period.
The annual accounts
A private company has nine months after the end of its accounting reference period to file. A public company has six.
The address, kept appropriate
The duty holds after incorporation. Where the registrar is not satisfied and no evidence arrives within 28 days, the process to strike the company off begins.
Year one on the registrar's clock
- Corporation tax at 19% up to 50,000 pounds of profit and 25% above 250,000, with marginal relief between.
- Registration for value-added tax once taxable turnover for the last 12 months goes over 90,000 pounds.
- The confirmation statement, due within 14 days of the end of the review period.

The name and the model articles
We check the proposed name against the registrar's rules and decide whether the model articles fit or the company needs its own, since changing them later is a separate filing.
Identity codes for the people
Every director obtains a personal code before the filing, and the people with significant control obtain theirs, because the registration will ask for them by name.
The address and the email
We arrange a registered office that meets the appropriate-address test and a registered email address, both of which the company has to keep working afterwards.
The capital and the filing
The statement of capital is prepared, the file goes in online, and the choice between the ordinary fee and the same-day service is made on the date you actually need.
The certificate, and the tax registrations
The certificate brings the company number. Corporation tax registration follows, and value-added tax joins it when turnover requires or when you choose it earlier.

The registrar's own guidance says an online application is usually registered within 24 hours and a postal one takes 8 to 10 days. Where a date is fixed and cannot move, the same-day service exists as a separate fee of 156 pounds and is filed through software. A file that arrives incomplete waits, so the codes, the address and the articles are settled before anything is sent.
They do. Identity verification became a legal requirement on 18 November 2025, and for a new company the personal code of each director forms part of the registration filing. A person with significant control provides their code when first added to the register or within 14 days of being added. The code comes from Companies House once the person has been verified.
Two filings run on their own clocks. The confirmation statement is delivered before the end of 14 days after each review period, and the first one in a 12-month payment period costs 50 pounds. Annual accounts follow the accounting reference period: nine months for a private company, six for a public one. A corporation tax return goes to the tax authority separately.
Registration becomes compulsory when taxable turnover for the last 12 months goes over 90,000 pounds, and also when you expect it to go over 90,000 pounds within the next 30 days. The first test looks backwards on a rolling basis, the second forwards. Registration is due within 30 days of crossing the line, which is why the turnover figure is watched monthly rather than at the year end.
