What is required to register a company in Uzbekistan

Registration in the country and admission to a special regime are two separate decisions, and they are taken in that order. The company is created under national law first; only an existing legal person can then apply to the technology park.

What the file carries
- A charter naming the company, its activity, the postal address, the bodies and their powers.
- A founding agreement, or a charter alone where a single person sets the company up.
- The charter fund and each founder's share, written as a percentage or a fraction.
- Identity data for founders and for the person who will sign, submitted through the state services system.
- Proof of the state duty, because the registering body acts only after it sees the payment.
What the Act says about capital
The Limited Liability Companies Act of 21 April 2026 sets no general minimum. It says the charter fund is fixed by the charter and made up of the nominal value of the members' shares, and that a minimum may be set by licensing requirements for a regulated activity.
Two limits do bite. A contribution in kind worth more than ten thousand base calculation values has to be valued by a valuation organisation and cannot be entered above that valuation. And membership is capped at fifty: cross it, and the company has a year to become a joint-stock company.

Three places the same business can sit
An ordinary national company
Formed under the Act above, taxed under the Tax Code, free to do anything the law does not licence. This is the route that works today for trade, services and employment.
Inside the technology park
An existing Uzbek legal person applies through the web portal with a business plan. The expert council examines the plan within ten working days and the directorate decides within fifteen working days of receiving the documents.
The financial centre in Tashkent
Its constitutional law was signed on 13 July 2026, and the centre's bodies have twelve months from the law's entry into force to adopt the enactments it needs, extendable by up to six months. Until they exist there is nothing to file.
What the technology park gives, and to whom
- Exemption from all taxes and mandatory contributions to state funds, including the social tax.
- Wages under employment contracts with a resident taxed at a fixed 7.5% and left outside the employee's aggregate annual income.
- Foreign specialists engaged without a separate work permit confirmation, and the company allowed to operate from a virtual office.
- Relief starting from the first day of the month after the company is entered in the register of residents, and ending the same way if the status is lost.
What the tax year will ask
- Turnover tax while aggregate income stays at or below one billion soums a year.
- Profit tax at 15% for taxpayers outside the listed categories, and 5% on dividend income.
- A move to profit tax and value-added tax from the day aggregate income passes that billion.

Stages of work
The activity, before the name
We settle what the company will actually do, because the activity decides the tax regime, the licence question and whether the technology park is open to it at all.
The name, the address and the founders
The name is checked against the register, an address the register will accept is arranged, and identity data for every founder and for the signatory are prepared.
The charter written for the case
The charter fund, the shares, the powers of the director and the rules for leaving the company are drafted to the Act rather than copied from a template.
The filing and the duty
The application goes in electronically, the duty is paid at the rate the system calculates, and we decide whether the extra payment for accelerated handling is worth making.
The taxpayer number and the regime
The identification number and the statistical records arrive with the entry. We pick the tax regime deliberately, keeping the billion-soum line in view instead of leaving it on default.
The technology park, if it fits
Where the activity is on the list, we prepare the business plan and the application, follow the expert stage and hand over the reporting duties that come with the status.

The regulation on state registration handles an electronic application in real time and caps that at thirty minutes, with the taxpayer identification number assigned by the system as the request is being filled in. Data for the statistical records go out no later than the day after the entry. The applicant can also ask for accelerated handling of the documents, which costs one base calculation value on top of the duty.

Not yet. The constitutional law on the Tashkent international financial centre was signed on 13 July 2026 and enters into force ten days after official publication. Its transitional article gives the centre's bodies twelve months from that date to adopt the decisions the law requires, and the council may extend the period by up to six months. Until those decisions exist there is no application to make and no fee schedule to quote.

The expert council examines the plan within ten working days, and the directorate takes its decision within fifteen working days of receiving the documents. Where the papers do not match the rules, the applicant has five working days to fix them and apply again. Relief starts from the first day of the month after entry in the register.
