What is required to register a company in Georgia

Registration in Georgia is the easy part. The decision that costs money to get wrong is the tax status the company will hold, because three regimes sit side by side and each one is bought with different evidence.

What the public registry wants
- The instrument of incorporation, in writing and signed by all founding partners.
- The consent of each person with management and representative powers, unless it is inside that document.
- The brand name, the legal address and the identification data of every partner.
- For a limited liability company, the subscribed shares and the shareholdings as percentages adding up to 100%.
- Notarised signatures, or certification by the registry, or a qualified electronic signature.

Three statuses, and what each one asks
The standard regime
Profit tax is 15% and falls due when profit is distributed rather than when it is earned. Nothing has to be applied for, and money kept inside the business meets no charge on the way.
The virtual zone
Profit from supplying information technologies outside Georgia is exempt, but only where the virtual zone entity developed those technologies itself and the supply goes abroad.
International company status
The rate is 5% on profit, plus exemption from property tax other than land. The Government grants the status, the activity has to come from its own list, and income has to come solely from that activity.
Why the status is decided before the filing
International company status is not available to a company registered yesterday. The applicant needs at least two years of experience in the permitted activity, or has to be the Georgian representative of a non-resident enterprise with that experience, or be more than half owned by partner enterprises that have it. The income-generating activity must then be carried out in Georgia, with qualified people and real operating costs.
The penalty for drifting outside the list is unusual and worth reading twice: carrying on activities that the ordinance does not permit cancels the status as of the date it was granted.
Year one under the status you chose
- Profit tax at 15% on distribution, or 5% under international company status.
- Registration as a value-added tax payer once turnover passes GEL 100,000 in any twelve continuous months.
- An application to the Revenue Service where a status is wanted, reviewed against the ordinance.
- The activity kept inside the permitted list, because leaving it reaches backwards.

We start from what the company will actually sell and to whom, because that single answer decides which of the three tax statuses is even open to it.

The name, the address and the partners
The brand name is checked, the legal address is settled, and the identification data of every partner and manager goes into the instrument of incorporation.
A statute of your own, or the standard one
Founders may keep the standard statute or write their own. Shareholdings are expressed in percentages, and the percentages have to add up to 100%.
A notary, or an electronic signature
Signatures are notarised, certified by the registry or made electronically, and the filing goes in with the one-day fee or the same-day fee, depending on the date you need.
The entry, and what follows it
Registration brings state and tax registration together. Any application for a status then goes to the Revenue Service, and the decision on it belongs to the Government.

The registry's own fee list ties the term to the price. Registration of an entrepreneur other than an individual entrepreneur takes one working day for GEL 200, or is completed on the day of filing for GEL 400. An entrepreneur is treated as established from the moment of registration, and the decision takes effect once it is published on the registry's central electronic platform.
There is no figure in the law. The Law on Entrepreneurs says the subscribed capital of a company is the amount the company itself determines, and that where a company other than a joint-stock company has subscribed only shares without nominal value, the subscribed capital may be set at any amount. What the law does insist on for a limited liability company is that the partners' shares be expressed in percentages adding up to 100%.
Registration of an entrepreneur costs GEL 200 with a one-working-day term and GEL 400 when it is done on the day of filing. An extract from the registry is GEL 20 in a working day and GEL 75 on the day itself, and an extract in English adds GEL 26 to whichever service you order. These are the registry's charges; a notary's fee for certifying signatures is counted separately.

The Tax Code exempts profit, and the distribution of profit, earned from the supply of information technologies outside Georgia that were developed by a legal entity of a virtual zone. Two conditions sit inside that sentence: the technologies are developed by the entity holding the status, and the supply goes outside the country. Work sold to Georgian customers falls outside the exemption and meets the ordinary rate.
