Redomiciliation from Cyprus to CIS Special Economic Zone

An international logistics operator needed to migrate its corporate seat from Cyprus to a special economic zone within the CIS — specifically across Kazakhstan and Uzbekistan. Cross-border redomiciliation sits at the intersection of two unfamiliar regulatory regimes: Cyprus commercial and corporate law on the exit side, and CIS SEZ frameworks on the entry side. The client needed a single legal route that preserved corporate continuity, kept operations running, and produced documents acceptable to authorities in every jurisdiction involved — all before committing the business to a permanent change of seat.

We ran the redomiciliation as a single multi-jurisdictional project from legal analysis to filing.

1. Comparative legal review — analyzed corporate migration rules in Cyprus and across the CIS jurisdictions involved, including Kazakhstan and Uzbekistan, to identify the most efficient transfer route.
2. Corporate document package — drafted amendments to the Articles of Association and company charters in Cyprus, and prepared the full set of corporate documents required to establish and operate the company inside the special economic zone.
3. Translations and apostilles — coordinated certified translations and obtained apostilles so every document was acceptable on both sides of the migration.
4. Multi-jurisdictional submission — managed the filing process across Cyprus and the receiving CIS jurisdictions, keeping the timeline synchronized between authorities.
