Challenge
A UAE-based crypto holding planned to launch a licensed virtual asset business in Kyrgyzstan as part of its broader international structure. The Kyrgyz entity needed to fit cleanly into the group's cross-border architecture while securing a Virtual Asset Service Provider license from the local regulator. The client faced a layered task: incorporation in an emerging crypto jurisdiction, regulatory application, intragroup contractual alignment with the UAE parent, and operational compliance tailored to Kyrgyz market specifics — all before committing significant capital to a new regional foothold.
Solution
We provided full legal support across incorporation, licensing, and intragroup architecture for the Kyrgyz entity:
- Corporate structuring — advised on alignment between the Kyrgyz entity and the UAE parent, ensuring the new company fit the group's broader international structure.
- Incorporation and VASP licensing — prepared and submitted the full set of incorporation and licensing documentation to the Kyrgyz regulator, guiding the client through to a successful Virtual Asset Service Provider license.
- Intragroup agreements — drafted and negotiated IP licensing, service arrangements, and compliance documentation to lock in contractual alignment across the holding.
- Operational compliance — advised on AML/CFT policies and governance structures tailored to Kyrgyz market specifics, so the entity could launch under a fully compliant framework.
Result
The client obtained the VASP license and launched operations through a fully compliant Kyrgyz entity integrated into the UAE holding.
The project opened entry into one of Central Asia's most promising crypto markets — and strengthened the legal and contractual foundation of the group's international Web3 operations.
