Multi-Jurisdictional Fintech Holding Structure

An international fintech holding was building out a corporate structure that needed to span six jurisdictions and eight entities. The client wanted a setup that would support cross-border capital flows, capture available tax incentives for fintech, and stay compliant with the regulatory frameworks of every country in scope. Each jurisdiction brought its own tax treatment, substance requirements, and reporting obligations — and the structure had to balance all of them without creating friction between entities. The client needed a coherent design and a clear implementation path before locking in long-term operational and capital commitments across the group.

We designed and validated a multi-jurisdictional corporate structure for the group end to end:

1. Structure design — mapped a holding architecture spanning six jurisdictions and eight entities, aligning each company's role with the group's operating and capital flow logic.
2. Tax regime analysis — reviewed corporate tax rules, fintech-specific incentives, and cross-border treatment in every jurisdiction, then selected the configuration that optimised the overall tax position.
3. Regulatory compliance — checked the structure against the regulatory requirements applicable to fintech activity in each country and adjusted entity roles where needed.
4. Capital flow setup — built the structure to support efficient cross-border movement of funds between the entities, with clear paths for distributions and intra-group financing.
