Labor Law Compliance Audit for Tech Company
Client
Technology solutions company (free zone)

Challenge
A technology solutions company operating from a UAE free zone faced accumulating exposure under local labor law. Past and current employment contracts contained terms that conflicted with UAE regulations on salary payment, compensation structure, and remuneration changes — issues that carry fines, visa restrictions, and reputational risk in the Emirates. The client needed a clear picture of where contracts breached the rules, how to restructure pay across salary, bonuses, and dividends without triggering tax reclassification, and how to document everything for labor and immigration authorities — before the next payroll cycle exposed the business further.
Solution
We ran a full compliance audit of the client's employment arrangements and rebuilt the payment structure end to end:
- Contract review — analysed UAE labor regulations against current and historical employment contracts, identified specific violations, and mapped each to its potential fine or sanction.
- Payment structuring — modelled compensation options across salary, bonus schemes, and dividends, assessing tax implications and the risk of reclassification when linking pay to business performance.
- Legal report — prepared a comprehensive memo with concrete recommendations on optimising employment relationships and adopting secure compensation methods.
- Documentation strategy — designed how to reflect every change in contracts, internal policies, and official filings so the structure aligned with labor and immigration authorities' requirements.
Result
The client moved off a non-compliant payroll setup onto a documented compensation structure worth USD 200,000, with payroll, tax, and immigration risks contained.
Beyond the immediate fix, the audit gave the company a working framework — contracts, policies, and reporting aligned with UAE labor and immigration requirements, preventing future violations as the team grows.
