Internal Policy Audit and C-Suite Onboarding for Fintech Group
Client
Fintech group of companies (mainland + free zones)

Challenge
A fintech group operating across UAE mainland and free zones needed a full audit of its internal policies and employment contracts against local labor regulations. The group was simultaneously onboarding a new executive team — CEO, CTO, and CVO — each requiring tailored agreements with bonus schemes, stock options, and termination clauses. On top of the restructuring, the group faced a contentious exit of a senior employee that risked escalating into a legal dispute and reputational fallout. Personnel frameworks had to stay flexible for the business while remaining legally sound, with compensation structures aligned to local tax and financial obligations — all before the new C-suite formally stepped in.
Solution
We delivered a multi-track engagement covering policy compliance, executive onboarding, and dispute resolution across the group:
- Policy audit — reviewed internal policies across mainland and free zone entities, mapped gaps against UAE labor requirements, and proposed a unified framework for personnel management.
- Contract restructuring — rebuilt the employment contract architecture so that core terms aligned with local law while accommodating business-specific arrangements.
- C-suite agreements — drafted tailored contracts for the incoming CEO, CTO, and CVO, including bonus schemes, stock options, and termination clauses calibrated to each role.
- Contentious exit — managed the negotiated termination of a senior employee directly, resolving the dispute through structured talks and avoiding litigation or public escalation.
Result
The group brought its internal policies and contracts into compliance, onboarded the new C-suite on tailored terms, and closed the contentious exit without litigation. Project value: USD 180,000.
The result is a legally sound personnel framework across mainland and free zone entities — flexible enough for executive-level deal-making and resilient against future labor disputes.
