The founder of a gaming group was preparing to scale by setting up a new game development and publishing entity in the UAE. 1. IP lifecycle review — mapped how intellectual property was being created and managed across the group, including intercompany agreements, employment contracts, and freelance arrangements, and flagged legal and operational risks.
2. Remediation of weak points — drafted supplementary agreements to secure rights to previously created content and close gaps that could jeopardize proper IP consolidation.
3. Group structuring options — proposed two alternative contractual frameworks to integrate the new UAE entity into the existing corporate structure, balancing legal clarity with tax-efficient movement of funds and rights.
4. Forward-looking agreements — prepared a set of contracts providing for automatic transfer of rights to modifications and new games created by the new UAE company.
