When you need company liquidation in Serbia

The notice runs for 90 days

The register advertises the opening of the liquidation on its own site, and the 90 days that advertisement stays up are the first part of the wait.

Moving the address restarts the clock

Change the registered address or the address for post while the notice is running, and the 90 days begin again from the day that change is registered.

Payments wait for the first report

The liquidator cannot pay creditors or members until the initial report is registered, and that report cannot be drawn before day 90 of the procedure.

Tax clearance is your errand

Deletion needs certificates from the tax administration and from the local authority, no older than 5 days, and the registrar does not collect them for you.

Owners answer after the deletion

Members of a limited liability company stay liable for its obligations up to what each of them received from the liquidation surplus, for 3 years.

What is required before Serbia deletes a company

In Serbia the calendar is public. The opening of a liquidation is advertised in the register of business entities, and the length of that advertisement decides the earliest day the company can leave the register.

What the file needs at the start

  • A decision of the members to open the liquidation, naming the liquidator. On that appointment every other representative loses the right to act for the company.
  • Enough property to meet every obligation: this is the route written for a company that can pay.
  • A registration application for the opening and for the publication of the notice, with proof that the fee is paid.
  • A person with an address in Serbia who will keep the books and documents; that person's name and address are registered too.
  • Certificates that the tax obligations have ended — one from the tax administration, one from the local authority, neither older than 5 days when the deletion is filed.
  • No tax audit under way: from the moment the tax authority tells the register that it is auditing the company, the register cannot delete it or register a change of its founder, name or seat.

The periods that make up the wait

  • The notice of the opening stays on the register's site for 90 days and calls on creditors to report their claims.
  • Claims can still be reported for 30 days after that period ends. After that they are precluded.
  • Known creditors are written to separately, within 15 days from the day the liquidation starts.
  • The initial liquidation report is drawn no earlier than 90 and no later than 150 days from the start, adopted within 30 days and registered within 15 of being adopted.
  • So the application for deletion cannot be filed until 120 days have run from the day the notice went up, and not before that report is registered.

What the deletion leaves behind

Members of a limited liability company answer for the company's obligations after it is deleted, each up to the amount received from the surplus, and those claims fall away 3 years after the deletion. The liquidator answers separately for damage caused in the role, under the same 3-year limit.

Stages of work

Can the company pay everyone

The first question is solvency, because it decides which procedure applies. We read the last balance sheet against the obligations and say plainly whether this route is open.

The decision and the liquidator

The members adopt the decision to open the liquidation and appoint the liquidator in it. From that day the liquidator represents the company and answers for the lawfulness of its business.

The opening registered and advertised

The application goes to the register with the decision and the fee. The liquidation begins on the day of registration, and the notice goes up on the register's site for 90 days.

Known creditors written to

Inside 15 days from the start every known creditor gets a letter naming the day the notice went up and the day their claim will be precluded.

Claims recorded, disputed or recognised

Claims are entered in a list, and the company can dispute one within 30 days of receiving it. Recognised, disputed and reported claims all go into the report.

The initial report and its registration

Between day 90 and day 150 the liquidator draws the initial report, the members adopt it, and it is registered. Only after that registration can money leave the company.

Settlements, the surplus and the deletion

Creditors are paid, the surplus is divided by a decision of the members, the tax certificates are collected, and the application for deletion is filed.
